Pay Per Click (PPC) Advertising Terms

Welcome to TIBINT’s Pay Per Click (PPC) Advertising services. By utilizing our PPC services, you agree to these Terms of Service, which outline the scope of our services, your responsibilities, and the terms of engagement. These terms ensure a clear and effective partnership between you and TIBINT.

1. Service Overview

TIBINT’s PPC Advertising service is designed to drive targeted traffic and generate leads through strategic online advertising campaigns. Our services encompass all major PPC platforms, including Google Ads, Bing Ads, Facebook Ads, and other social media channels. The core components of our PPC service include:

  • Strategy Development: Tailoring a PPC strategy that aligns with your business goals.
  • Ad Creation and Optimization: Crafting and refining ads to maximize performance.
  • Keyword Research: Identifying and targeting the most effective keywords.
  • Bid Management: Optimizing bids for cost-efficiency and ROI.
  • Performance Reporting: Providing detailed reports to track and assess campaign success.

2. Service Specifics

2.1 Strategy Development

  • We collaborate with you to develop a custom PPC strategy. This strategy includes setting clear goals, selecting appropriate platforms, and defining key performance indicators (KPIs). Our approach is data-driven and designed to deliver the best results within your budget.

2.2 Ad Creation and Optimization

  • TIBINT designs and continuously optimizes ads to improve relevance and performance. We create ads that target your ideal audience, using best practices for ad copy, imagery, and calls-to-action (CTAs) across platforms like Google Ads, Facebook Ads, and more.

2.3 Keyword Research

  • We perform comprehensive keyword research to identify high-converting keywords tailored to your industry. This ensures your ads appear for searches that are most likely to drive valuable traffic to your website.

2.4 Bid Management

  • TIBINT manages and optimizes your bids to ensure that your ad spend is used effectively. We continuously monitor and adjust bids to maximize your return on investment (ROI) and reduce cost-per-click (CPC).

2.5 Performance Reporting

  • We provide regular, detailed reports on the performance of your PPC campaigns. These reports include metrics such as impressions, clicks, conversions, and cost-per-conversion, along with insights and recommendations for campaign improvement.

3. Client Responsibilities

3.1 Budget Management

  • You are responsible for setting and maintaining the budget for your PPC campaigns. TIBINT will manage your campaigns within this budget and will provide recommendations for budget adjustments based on campaign performance. Any changes to the budget must be communicated in writing.

3.2 Ad and Keyword Approval

  • You are responsible for reviewing and approving all ads and keywords before they are launched. TIBINT will provide recommendations, but final approval is required from you.

3.3 Compliance with Advertising Policies

  • You must ensure that all advertisements comply with the policies of the advertising platforms used (e.g., Google Ads, Facebook Ads). TIBINT will assist in ensuring compliance, but you are ultimately responsible for adhering to these policies.

4. Contract Term and Termination

4.1 Initial Contract Term

  • The PPC Advertising service is provided under a 12-month commitment contract.

4.2 Automatic Renewal

  • Following the initial 12-month term, the contract will automatically renew on a 3-month term basis. This renewal will continue unless canceled or renegotiated by either party prior to the renewal date.

4.3 Early Termination

  • Early termination of the contract is permitted but requires 30 days’ written notice. If you choose to terminate the contract early, a cancellation fee equivalent to three months of service fees will be due within five days of the termination notice.

4.4 No Refunds

  • As PPC services are billed on a monthly basis, no refunds will be issued for partial months or unused ad spend. All payments made for services and ad spend are non-refundable.

5. Fees and Payment

5.1 Service Fees

  • Service fees are based on the scope of work outlined in your service agreement. These fees include strategy development, ad creation, keyword research, bid management, and reporting.

5.2 Ad Spend

  • Ad spend, the budget allocated for running ads, is separate from TIBINT’s service fees. Ad spend is billed directly by the advertising platforms and is your responsibility to manage and pay.

5.3 Payment Terms

  • Service fees are billed monthly and are due at the beginning of each month. Late payments may result in the suspension of services until payment is received.

6. Limitation of Liability

6.1 No Guarantee of Specific Results

  • TIBINT aims to optimize your PPC campaigns for the best possible performance, but we do not guarantee specific outcomes, such as a particular number of leads or sales. Results may vary based on various factors, including market conditions and platform algorithms.

6.2 Liability Cap

  • TIBINT’s liability for any claim arising out of this agreement is limited to the amount paid by you for the PPC services during the three-month period preceding the claim.

7. Confidentiality and Data Privacy

7.1 Confidential Information

  • TIBINT will treat all data and information provided by you as confidential and will not disclose it to third parties without your consent, except as required to perform the services or as mandated by law.

7.2 Data Processing

  • Your data will be processed in compliance with industry-standard data protection practices. TIBINT will ensure that all data is handled securely and in accordance with applicable privacy laws.

8. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the state of New York, without regard to its conflict of law principles.

9. Changes to Terms

TIBINT reserves the right to modify these terms at any time. Clients will be notified of any changes, and continued use of our services following such changes will constitute acceptance of the new terms.
